Enterprise Inns' £875 million deal to buy 1,860 pubs from rival Laurel could be sent to the Competition Commission.
Competition minister Melanie Johnson said: "The Director General of Fair Trading has advised me this acquisition may give rise to competition concerns in respect of the market for pub retailing."
Enterprise, which owns 3,500 leased and tenanted pubs, announced the deal in April.
